Terms of Use

1. Operator

The service is operated by NOVA SOLUTIONS HK LIMITED, Unit 1614-15, 16/F, Nan Fung Commercial Centre, 19 Lam Lok Street, Kowloon Bay, Hong Kong (Company No. 77951060) (“Company”, “we”, “us”). Contact: contact@nvexc.com. Legal / law enforcement: legal@nvexc.com.

2. Acceptance

By accessing the website, starting the Telegram bot, creating an account, depositing assets, or using any feature of NV Exchange (the “Platform”), you agree to these Terms. If you do not agree, do not use the Platform.

3. Nature of the service

NV Exchange is a Telegram-integrated cryptocurrency exchange and ledger service. You may deposit supported digital assets, hold an internal balance, exchange between supported pairs, and withdraw to external addresses, subject to fees, limits, AML screening, and KYC.

No personal wallets. The Platform does not provide self-custodial “personal wallets” whose on-chain activity is controlled by you as a branded personal address book. Deposit addresses are assigned for Platform operations; cleared balances are internal ledger entries; withdrawals settle from service pools.

4. Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction).
• You must not be located in, or a resident of, a jurisdiction where use of the Platform is prohibited.
• You must not be subject to sanctions or otherwise prohibited from receiving the services.
• You represent that you use the Platform only for lawful purposes and with assets you are entitled to control.

5. Account & Telegram

Access is primarily through Telegram (@nvexchange_bot). You are responsible for the security of your Telegram account, devices, and any authentication factors. We may refuse, suspend, or terminate access where we detect abuse, compromise, or policy breach.

6. AML screening

All inbound transfers are subject to automated and/or manual Anti-Money Laundering (AML) review.

• Clean funds: may be credited to your Platform balance and used in accordance with these Terms.
• Funds that are not clean: will not be accepted for trading or unrestricted withdrawal. Such deposits are placed on hold and processed for refund to the originating address under our refund procedures.

You acknowledge that AML tools are risk-based; holds and refunds may take time; network fees or minimums may reduce refunded amounts; and we may request information or KYC before acting.

7. KYC

We may require identity verification (KYC). You agree to provide accurate documents and information. Failure to complete KYC when required may result in limits, suspension, refusal of deposits/withdrawals, or account closure. Identity data is processed for compliance and risk management as described in our notices.

8. Fees, limits & quotes

Fees for deposits, withdrawals, exchanges, and related services are published on the Fees page and/or shown in the bot. We may change fees prospectively. Network (blockchain) fees are separate. Exchange rates are indicative until confirmed in-bot; confirmed quotes may be time-limited. Minimum and maximum amounts and velocity limits may apply and may vary by asset, network, KYC tier, or risk status.

9. Deposits & withdrawals

• Send only the supported asset on the supported network to the deposit address shown for your open order. Wrong asset/network transfers may be irreversible or recoverable only at our discretion, possibly with a recovery fee.
• Credit occurs after sufficient network confirmations and successful AML clearance.
• Withdrawals require successful authorization under our security controls and may be delayed for compliance review.
• Public service wallets are listed on Public wallets. User deposit addresses are distinct from withdrawal pools.

10. Prohibited use

You must not use the Platform to launder money, finance terrorism, evade sanctions, defraud others, trade stolen assets, manipulate markets, attack our systems, or violate applicable law. We may freeze, reverse (where possible), refuse, or report activity consistent with our AML/KYC policy and law.

11. Cooperation with authorities

We may preserve and disclose account, transaction, and identity data in response to valid legal process or where required by law. Law enforcement requests should follow the process at Law enforcement and be sent to legal@nvexc.com.

12. Risk disclosure

Digital assets are volatile and may lose value. Blockchain transactions can be irreversible. Smart contracts, bridges, counterparties, Telegram, cloud providers, and third-party KYC/AML vendors may fail. You accept these risks. The Platform is provided on an “as is” and “as available” basis to the maximum extent permitted by law.

13. Limitation of liability

To the maximum extent permitted under Hong Kong law, the Company and its directors, officers, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability arising out of your use of the Platform is limited to the greater of (a) fees you paid us for the specific transaction giving rise to the claim in the three months preceding the claim, or (b) USD 100. Nothing in these Terms excludes liability that cannot be excluded by law.

14. Indemnity

You agree to indemnify and hold harmless the Company from claims, losses, and costs arising from your breach of these Terms, your violation of law, or your misuse of the Platform.

15. Intellectual property

NVEXC, NV Exchange, and related marks, UI, and content are owned by the Company or its licensors. You receive a limited, revocable license to use the Platform for its intended purpose only.

16. No referral programme

The Platform does not currently offer a public referral, affiliate, or rebate programme. Any unofficial promotion claiming otherwise is void.

17. Changes

We may amend these Terms by posting an updated version on www.nvexc.com. Continued use after the effective date constitutes acceptance. Material changes may also be notified in the bot where practicable.

18. Termination

You may stop using the Platform at any time. We may suspend or terminate access immediately for policy, risk, or legal reasons. Upon closure, we will endeavour to allow withdrawal of cleared, non-held balances subject to law, AML, fees, and technical feasibility. Held or illicit funds may be frozen, refunded, or dealt with as required by law.

19. Governing law & disputes

These Terms are governed by the laws of Hong Kong. Courts of Hong Kong have exclusive jurisdiction, without prejudice to any mandatory rights you may have under applicable consumer law.
